agreement with the Company; and such commission shall

be due and payable as and when the said products

have been sold in Hong Kong and China.

In consideration of this commission the

said Reiss and Company agree to provide the said

Humphrey Cheetham with the necessary accommodation

in their offices in Hong Kong and Canton to work the

business and they agree that they and their

employees including their Compradores and

their staffe at these places will at all times give

their advice to the said Hunhrey Cheetham when asked

by him and that they will furnish him free of

charge with the necessary clerical assistance in

order to properly work the said business. As the

said Humphrey Cheetham will be unable to

conduct the business in person both at Hong Kong

and Canton, it has been agreed that the said Reiss &

Company will in regard to Canton provide him with a

qualified and responsible manager at that place..

the said Reiss and Company hereby

agree that they will at no time hereafter

whether this agreement is dill in force

or not

acquire or to accept for themselves

and or others, nor will they cause

or assist others to acquire, the

agency or sub-agency of the said

Texas Company and its business, nor

shall they be in any way interested

therein without the Company's consent

in writing".

decision with regard to Mr.Cheetham

and informed the Company accordingly.
